يمتاز عقد الوكالة من بين ما يمتاز به أنه من الأهمية بمكان حتى وصف بأننا نحتاج إليه في كل خطوة من خطوات حياتنا بل وصف أنه لا يمكن تصور هذه الحياة بدونه، ومن جهة أخرى فهو يمثل خطورة بالغة على مصالح الموكل لانصراف آثار التصرفات القانونية التي يبرمها الوكيل إليه، لذلك كان عقد الوكالة من عقود الإعتبار الشخصي، وبناء على ما تقدم كان الأصل في عقد الوكالة أنه من العقود غير اللازمة كما وإنه ينقضي بوفاة أي من أطرافه أو فقده الأهلية القانونية، إلا أن تطور الحياة القانونية وظهور مصالح جديدة للوكيل أو الغير في عقد الوكالة إلى جانب مصلحة الموكل أملى إضفاء قدر من الثبات والإستقرار على هذا العقد، كلما كان معقوداً للمصلحة المشتركة، أو لمصلحة الوكيل أو الغير، وهذا ما حاولنا تأطيره بنظرية عامة تلم شتات التطبيقات المتباينة والمتناثرة على صعيد الفقه والتشريعات والقضاء. وإضفاء صفة اللزوم على هذا العقد عند انعقاده لمصلحة الوكيل أو الغير أو إذا كان معقوداً للمصلحة المشتركة. وهو ما اقتضى بيان إمكانية إضفاء صفة اللزوم على هذا العقد، ومدى تأثيرها على طبيعته القانونية وصور الوكالة اللازمة والآثار القانونية الناشئة عن لزوم الوكالة، وانقضاء هذا النوع من الوكالة.
