وهو دراسة عملية طرح فيها المؤلف مجموعة من الإشكالات التي تواجه القاضي في التطبيق وتم ذلك من خلال عرض موقف النصوص العراقية وموقف الإجتهاد القضائي العراقي منها، وعرض السوابق القضائية الإنجليزية التي أخذت باسم تطور يوازي سلم تطور الحياة الإجتماعية والإقتصادية في المجتمع.
والسؤال الأساسي الذي كان في ذهن المؤلف والذي تناول بحثه في هذا المؤلف هو: في حال إذا ما اختلف التعبير المادي للإرادة في العقد عن النية الكامنة في النفس، فهل سيكون القاضي مجبراً على الأخذ بالتعبير المادي تاركاً النية الحقيقة والتي تعد أساس العلاقة التعاقدية ومدى تأثير ذلك على إنشاء العقد وتفسيره وتنفيذه؟...
