إن هناك حقائق معينة تشع علينا بضوئها لما فيها من وضوح ويقين وحقائق أخرى أقل منها قوة نشق إليها الطريق بحثاً عنها، وإن عصرنا الحالي شهد تطورات سريعة ومتلاحقة وذلك راجع إلى التطور العلمي والتقني الهائل الذي أصبح يؤثر سريعاً في حياة الأفراد وعلاقاتهم الإجتماعية.
ولذلك، فإن القانون أصبح في حاجة إلى ملاحقة هذه التطورات الحديثة ليصبح قادراً على ضبط العلاقات الإجتماعية بشكلها الحديث والمتطور، ومن بين هذه التطورات هو إستخدام شبكة الإنترنت في إبرام العقود المدنية والتجارية.
وإن غياب رؤية واضحة لهذا النوع من التعاقد دفع الباحثين للإحاطة به وإيجاد نظام قانوني يتلائم مع متطلبات التطور، حيث أصبحت وسائل التعاقد التقليدي لا تفي بالغرض ولا يمكن لها أن تواكب عجلة التطور.
إلا أن الأمر لا يخلو من الإشكالات المتمثلة بكيفية التعبير عن الإرادة إيجاباً وقبولاً وكيفية إثبات التوقيع والتصرف القانوني وغيرها من الإشكالات الأمر الذي حتم علينا دراسة وتحليل تلك الإشكالات ووضع بعض الحلول بالإعتماد على منهجية التحليل والربط بين عدد كبير من القوانين وإن إيجاد النظام القانون الملائم للتعاقد هو الهدف الرئيسي من هذا البحث.
