إزاء تحرُّر التجارة الدولية، والإنفتاح الإقتصادي الحاصل لدى دول العالم، سعت معظمها إلى الإستفادة من ذلك الإنفتاح وهذا التطور الإقتصادي والتكنولوجي الهائل؛ ونتيجة السعي من أجل مواكبة هذا التطور أصبحت دول عديدة لا تستطيع تمويل كافة مشاريع البنية التحتية وتشغيلها تشغيلاً دائماً يوفر الخدمات المطلوب منها على الوجه الأكمل.
ولا سيما أن دولاً قد وجدت نفسها عاجزة مالياً عن إنشاء المشاريع؛ بسبب الخسائر الضخمة التي يتعرض لها القطاع العام، أو نتيجة الحروب وما ترافقها من أحداث عنيفة تؤدي إلى تضرُّر هذه القطاعات والمرافق العامة في البلد، لذلك وجدت هذه الدول نفسها تتجه نحو القطاع الخاص لإنشاء وتمويل مشاريع البنية التحتية.
نتيجة لذلك، كان لا بد من إحداث تطويرات قانونية تلقي بظلالها على واقع التعاملات الدولية، وصيغة قانونية كفيلة لتنظم العلاقة بين الدولة والقطاع الممول لهذه المشاريع.
ومن هنا، برزت الحاجة إلى عقد الإستثمار الذي يعد من أكثر العقود شيوعاً وإنتشاراً في الوقت الحالي؛ حيث تزداد أهميته يوماً بعد آخر؛ للدور الذي يلعبه في تحقيق الموازنة بين أطرافه، ومن ثم تحقيق النمو الإقتصادي وتلبية إحتياجات المجتمع الأخرى؛ الأمر الذي أدى إلى خلق نوع من المنافسة لجذب مزيد من الإستثمارات بين الدول المتقدمة والنامية على السواء من أجل سد النقص الحاصل في بعض المجالات لدى هذه الدول.
