أصل هذا الكتاب هو أطروحة بعنوان "التأصيل الشرعي للقانون المدني العراقي" للدكتور أحمد عبيد جاسم، يبتغي المؤلف في هذه الأطروحة المقارنة بين الشريعة والقانون المدني، حيث يكاد يكون القانون المدني مأخوذ جله من شريعتنا، لذلك عرض المؤلف في كتابه هذا المادة القانونية ثم ذكر ما قاله شراح القانون ثم أردف بذكر أقوال الفقهاء المأخوذة منها النص القانوني.
وقد اقتضت منهجية البحث أن يأتي في مقدمة وتمهيد وثلاثة فصول وخاتمة حيث وجزت في المقدمة سبب إختيار الموضوع، أما الخاتمة فلخص فيها نتائج البحث، الفصل الأول: العقد، الفصل الثاني: العقود، الفصل الثالث: الحقوق.
