لا مراء في أن النشاط التجاري، شأنه شأن أي نشاط إنساني، تحكمه قواعد تنظم عمل الأشخاص القائمين به والذين يطلق عليهم بالتجار، وما يصدر عنهم من تصرفات قانونية يطلق عليها بالأعمال التجارية.
وقد عُرفت هذه القواعد منذ مدة بعيدة بقواعد القانون التجاري، وإذا كانت هذه التسمية قد تعرضت إلى النقد من قبل الفقه المعاصر وذلك لقصورها عن تنظيم مختلف أوجه النشاط التجاري، إلا أنه لا زال لها حضور في مختلف المؤلفات التي تناولت بالشرح والتفسير القواعد العامة التي تحكم النشاط التجاري.
ويمثل هذا المؤلف دراسة للقواعد العامة التي تحكم النشاط التجاري بمقتضى الأحكام التي قررها قانون التجارة العراقي رقم (30) لسنة 1984، ومقارنتها بأحكام التجارية العربية، ويتضمن المؤلَف في بابه الأول على مقدمة عامة تناولت بالتعريف مفهوم القانون التجاري وبيان خصائصه، والتمييز بينه وبين التسميات التي اقترحها الفقه بديلاً عنه، ونطاق تطبيقه ومصادره.
وخصص الباب الثاني لدراسة نظرية الأعمال التجارية التي تعد أحد أهم المحاور الأساسية في موضوعات القانون التجاري، بينما خصص الباب الثالث لدراسة الأحكام المتعلقة بالتاجر، بوصفه أهم الأشخاص المخاطبين بقواعد قانون التجارة، أما الباب الرابع فقد خصص لبحث الأحكام المتعلقة بالمحل التجاري أو المتجر.
