Book Description
يعالج موضوع الإندماج المصرفي الذي يعتبر من أهم المواضيع المطروحة على الساحة المصرفية لكونه يعتبر وسيلة من وسائل معالجة التحديات التي تتعرّض لها المصارف، كما أنه يشكل أحد الوسائل الهامة لتقوية بنية الجهاز المصرفي في أي بلد ورفع مستوى الأداء المصرفي فيه.
ويُعرّف الإندماج المصرفي بأنّه إتحاد مصرفين أو أكثر إما بضم أحدهما إلى الآخر، أو بمزجهما معاً في مصرف يحل محلهما، ممّا يؤدّي إلى حل المصرف (المصارف) المندمج، بدون تصفية، وإنتقال كامل الذّمّة المالية، بإيجابياتها وسلبياتها، كما انتقال سائر مساهمي المصرف المندمج إلى الصرف الذي استمر في شخصيته المعنوية أو الذي نتج عن الإندماج، فيمتلك هذا الأخير كل حقوق المصرف المندمج ويلتزم بكافة إلتزاماته تجاه الغير.
على الرغم من محدودية نصيب هذا الموضوع من البحث العلمي والمؤلفات القانونية، إلاّ أننا تناولناه على الصعيدين القانوني والعلمي محاولين الإحاطة بكل ما يتعلق بجوانبه على كافة الأصعدة سيما ناحية ماهيّته، إختلافه عن غيره من النظم المشابهة له، أنواعه، أسبابه، مزاياه، إجراءاته ودور المصرف المركزي في عملية الإندماج، مع النتائج المترتبة على عملية الإندماج والعوائق التي تتعرّض لها هذه العمليّة.
كل هذه التفاصيل قمنا بمعالجتها، عارضين لمختلف التجارب الحديثة والقديمة في مجال الإندماج المصرفي على الصعيدين العالمي والعربي ولكل عمليات الإندماج المصرفي الحاصلة في لبنان حتى تاريخ نشر هذا الكتاب، كما قمنا بإجراء تقييم لقانون تسهيل إندماج المصارف اللبناني 192/ 93، ومدى مساهمته في حل المشاكل التي تعرّض لها القطاع المصرفي اللبناني.
