كانت العائلة، عند الشعوب البدائية، تشكل خلية إقتصادية مستقلة، تنتج كل ما تستهلك وتستهلك كل ما تنتج.
لكن مع التطور الإقتصادي والإجتماعي والصناعي الذي رافق حضارة الشعوب، إزداد الإنتاج واتسع نطاق حاجات المجتمع للإستهلاك، فبرز عقد البيع كأهم الأعمال القانونية التي تعكس هذا التطور وتحقق رغبات الإنسان، لأنه الأداة الأساسية اليومية، المحلية والعالمية، التي تربط الإنتاج بالإستهلاك.
ففي البيع يحقق الشخص رغباته بتصريف ما يزيد عن حاجاته ويرضي كذلك ميلاً دفيناً في نفسه بإشباع أنانيته بحب التملك.
فهذا العقد هو من أكثر العقود التي يحس الفرد عند ممارسته له، بأنه يشبع، بواسطته، رغبته بالتعاقد.
لكن إكتساب الملكية عن طريق البيع ليس هو الغاية بحد ذاته، لأن المشتري لا يبتغي من ذلك الوجه القانوني لهذا العمل فحسب وإنما يسعى إلى الناحية العملية منه، اي الحصول على مبيع صالح للإستعمال، ومفيد له أي غير معيوب.
وحتى يحصل على ذلك، يقتضي توفير ضمانة له تزرع الطمأنينة في نفسه وتوفر الإستقرار في تعامله مع الغير، فينمو هذا التعامل ويزداد لأن التجارة لا تحيا إلا ضمن تربة الإستقرار ولا تترعرع إلا في مناخ الثقة.
أمام هذه المعطيات مست الحاجة منذ القدم، إلى نشوء ضمان العيب الخفي في المبيع؛ وقد أوجد هذا الضمان حكام الأسواق عند الرومان، بعد ان سبقتهم إلى ذلك، بشكل جزئي، شريعة حمورابي.
ثم اعتمدت هذا الضمان التشريعات العالمية الحديثة، نظراً لصلته الوثيقة بالحياة العملية فهو كان وليد عالم الأعمال تأثر وما زال يتأثر به ويتفاعل معه.
لذا لم تقف هذه المؤسسة القانونية، ذات النشأة العملية ضمن الحدود التي رُسمت لها قديماً، وإنما واكبت ركب التطور الإقتصادي والتقني الذي كان له تأثير كبير في إحداث تغيير جذري في العلاقات بين المنتجين والمستهلكين في وجهيها الإقتصادي والقانوني على السواء.
