عقود نقل التكنولوجيا من العقود المستحدثة، وهي نتيجة الزيادة المطردة في العلاقات الاقتصادية الدولية. وعبور الاستثمارات حدود الدول، وهي كذلك في المجال القانوني الوطني والدولي، وهي من المواضيع الشائكة الصعبة التي تنتمي لأكثر من فرع من فروع القانون المختلفة. فلها في القانون المدني، والقانون الدولي العام فرع، وفي القانون الدولي الخاص موضوع. وفي القانون التجاري فصل ومبحث. لذلك كانت دراستها صعبة، وتحتاج لأكثر من الدقة، حتى تصل إلى الفكرة وكيفية بحثها ودراستها الدراسة القانونية التي لا تبعد عن الواقع المتطور المتغير.
ولعقود التكنولوجيا جانب من السياسية، والسياسية ملح الحياة، وهي أكثر وجودًا هنا، حتى أنه في كثيرًا من الأحيان يفسد الصفقة (الطبخة) لزيادة الملح، ويجعل نقل التكنولوجيا ما هو بنقل، ولكنه نقل سراب وهواء مقابل نقدي كبير، فيصل في بعض الأحيان إلى حد الدجل السياسي طبعًا. خاصة وأن العلاقة في عقود نقل التكنولوجيا بين تابع ومتبوع، أي أنها علاقات غير متكافئة.
ولا يخفي الجانب الاقتصادي– توأم السياسية– في عقود نقل التكنولوجيا، فالتكنولوجيا لها دور هام ومهم، لا يمكن التغاضي عنه أو استبداله، إذا أرادت دولة ما تنمية اقتصادية حقيقة متصاعدة، وقد أكدت على ذلك كافة الاتفاقيات الدولية التي تعرضت لعقود نقل التكنولوجيا بالتنظيم القانوني على المستوى الدولي، وظهر ذلك جليًا في جهود الأمم المتحدة ووكالاتها المتخصصة، وفي مؤتمر الأمم المتحدة للتجارة والتنمية.
