يشهد العالم حالياً تطورات متلاحقة في مجال الوسائل الإلكترونية، والتي واكبها تطورات أخرى في مجال نظم الاتصالات، ولقد نجم عن الاقتران بين المجالين ظهور تقنيات اتصال حديثة، كشبكة الإنترنت، وأصبح الأطراف ينجزون معاملاتهم باستعمال الوسائل الإلكترونية ويتبادلونها عن طريق الإنترنت. وهذه المعاملات قد تتعلق بالأعمال التجارية أو بتقديم الخدمات، ويمكن تقسيمها بناءً على ذلك إلى نوعين، الأول: المعاملات التي تتعلق بالخدمات، والمعاملات التي تتعلق بالأعمال التجارية ويطلق عليها مصطلح التجارة الإلكترونية.
وإبرام المعاملات عن طريق شبكة الإنترنت، يثير بعض المشكلات القانونية، من أهمها إثبات تلك المعاملات، إذا كان القانون الواجب التطبيق يتطلب الكتابة لإثباتها. معظم الدول أصدرت تشريعات تتعلق بالمعاملات الإلكترونية لأجل حل تلك المشكلة، ولكن هذه التشريعات جاءت بشروط متباينة. لذا يستلزم الأمر توضيح الشروط الواجب توافرها في الكتابة الإلكترونية حتى تتحقق لها ذات الحجية في الإثبات المقررة للكتابة التقليدية، وتوضيح الشروط الواجب توافرها في التوقيع الإلكتروني حتى تتحقق له ذات الحجية في الإثبات المقررة للتوقيع بخط اليد، وأيضًا توضيح الشروط التي تتطلبها معظم القوانين لاعتماد شهادات التصديق الإلكتروني التي تصدرها جهات التصديق، بالإضافة إلى المشكلات المتعلقة في الإثبات والتي يثيرها استخدام الوسائل الإلكترونية.
يتولى هذا الكتاب دراسة تلك المواضيع من خلال تقسيم هذه الدراسة إلى فصلين يسبقهما مبحث تمهيدي نوضح من خلاله أهم المجالات التي تستخدم بها العقود الالكترونية وهي التجارة الالكترونية حيث نخصص هذا المبحث لتعريف التجارة الالكترونية ونتناول بشيء من الإيجاز مشكلات العقود الالكترونية الأخرى والتي تتعلق بالتجارة الالكترونية. وذلك على النحو الآتي: مبحث تمهيدي: ماهية التجارة الالكترونية الفصل الأول: إثبات العقود التي تتم عبر الانترنت، الفصل الثاني: زمان ومكان العقود التي تتم عبر الانترنت .
