تقوم علاقة الوكالة أو النيابة بين طرفين أحدهما يسمى الأصيل أو الموكل والآخر يسمى الوكيل أو النائب وتنشأ هذه العلاقة من موافقة الوكيل على أن يعمل لحساب الأصيل وأن يخضع لسيطرته ويتصرف بناء على موافقته ويقوم قانون الوكالة على أساس المبدأ القائل "بأن من يتصرف عن طريق شخص آخر إنما يتصرف لحساب نفسه" ومن ثم توصف علاقة الوكالة بأنها علاقة اتفاقية وفى حالة وجود مقابل تعتبر هذه العلاقة تعاقدية.
وسنبدأ بحثنا بباب تمهيدى يتناول أنواع عقود الوكالة ثم نتناول القانون رقم 17 لسنة 1999 فى موضوع الوكالة التجارية فى المواد من 148 حتى 191 وسوف نتناوله فى ثلاث أبواب تفصيلية: الباب الأول: الأحكام العامة ونفصله فى ثمانية عشر فصلاً: مناط تطبيق أحكام الوكالة، أحكام الوكالة المطلقة، الأجر، اتباع تعليمات الموكل، استصدار أمر البيع، الامتناع عن اجراء العمل، اخطار الموكل، مسئولية الوكيل عن الهلاك والتلف، الوكيل كطرف ثان، طلب الاطلاع على عقد الوكالة، التزامات الوكيل ازاء الموكل، الحق فى الحبس والامتياز العام على البضائع، مناط الامتياز العام، درجة امتياز الوكيل التجارى، اجراءات التنفيذ على البضائع، انهاء العقد، الموطن، وسريان القوانين والقرارات الخاصة بالوكالة التجارية.
الباب الثانى: بعض أنواع الوكالة التجارية -الوكالة بالعمولة- ونفصله فى احدى عشر فصلاً: التعريف بالوكالة بالعمولة، البيع بأقل من الثمن، شراء بضاعة مخالفة، التعاقد بشروط أفضل، أجل الوفاء والتقسيط، البيع بثمن معجل، تغيير العلامات، التصريح باسم الموكل، الالتزامات، أثر الافلاس، وما لا يضمنه الوكيل بالعمولة.
الباب الثالث: وكالة العقود ونفصله فى خمسة عشر فصلاً: التعريف، ممارسة أعمال الوكالة، شروط العقد، الكتابة، مدة العقد عند الاشتراط، قبض حقوق الموكل، الالتزام بأداء أجر، استحقاق الأجر، والتزام الموكل بتقديم معلومات.
