من أهم المشكلات التي تقف حجر عثرة أمام مشاريع الخصخصة، المشكلة القانونية المتعلقة بالسند القانوني الذي يسمح ببيع المشروعات المراد اتخاذ إجراءات الخصخصة بشأنها، وبمعنى أكثر عمومية كيفية تحول المشروعات من القطاع العام إلى القطاع الخاص.
وهو ما يتطلب بحث المسائل المتعلقة بمركز الأشخاص الطبيعية والمعنوية في إقليم الدولة في ظل القيود التي كانت موضوعة على تمتعهم ببعض الحقوق كالحق في تملك العقارات، أو تلك التي كانت تقف أمام مساهمتهم في رأس مال بعض المشروعات أو حرمانهم من إدارتها.
وترتبط بهذه المسائل، المسألة الهامة المتعلقة بتحديد القانون الواجب تطبيقه في إطار عمليات الخصخصة التي يصل إليها الأجانب وترتفع إلى مصاف العلاقات ذات الطابع الدولي. وهي كلها مسائل يتعين أن تشملها هذه الدراسة القانونية، بالبحث والتحليل.
غير أن بحث هذه المسائل وغيرها يتطلب أن نقف على مدلول محدد لفكرة الخصخصة وعلاقتها بالقانون الدولي (العام، أو الخاص)، وأهم الشروط التي وضعتها الدول المختلفة التي أخذت بها كنظام، والطرق القانونية والفنية لتحقيقها. وهي مسائل يتعين التعرض لها من خلال ما وصلنا من معلومات عبر شبكات القانون المقارن.
وقد يكون في استيضاح ذلك كله الإجابة على التساؤل الذي قد يساور فكر البعض عن علاقة القانون الدولي الخاص بموضوع يغلب عليه الطابع الاقتصادي وهو الخصخصة.
وفي ضوء ما تقدم ستنقسم الدراسة في هذا البحث إلى بابين على النحو التالي: الباب الأول: فكرة الخصخصة في القانون المقارن، الباب الثاني: مسائل الخصخصة ذات الصلة بالقانون الدولي الخاص، وسنختتم الدراسة ببعض الملاحظات الهامة التي تم التوصل إليها بعد تحليل كل عنصر من عناصرها.
