يبدأ المشروع الدولي المشترك فيالعادة بوجود أطراف متعددة تنتمي لأكثر من دولة، وقد تكون أطراف المشروع الدولي المشترك أطرافاً مباشرة، وهم من يساهمون في إنشاء المشروع، أو أطرافاً غير مباشرة، وسوف يتناول الفصل الأول بيان الأطراف المبارشة وغير المباشرة للمشروعات الدولية المشتركة، ومناقشة إتجاهاتها ودوافعها تجاه هذه المشروعات.
ورغم أن صيغ وأنماط التعاون بين الأطراف التي اصطلح على تسميتها بالمشروع الدولي الشمترك عديدة ومتنوعة، إلا أنه يمكن تقسيمها طبقاً لما اصطلح عليه في دوائر الأعمال الدولية وفي الفكر القانوني الدولي إلى فئتين رئيسيتين:-
الفئة الأولى: تضم الصيغ والأنماط التي يجمعها إشراك الأطراف في رأس مال المشروع ويطلق عليها "المشروع الدولي المشترك في رأس المال"، الفئة الثانية: وتشكل الصيغ والأنماط التي تتخذ شكل ترتيبات تعاقدية لا ترقي إلى مرتبة الشركات بين أطراف غير مشتركين في رأس المال ويطلق عليها "الصيغة التعاقدية للمشروع الدولي المشترك" وسوف يتضمن الفصل الثاني مناقشة هاتان الفئتان الرئيسيتان من المشروعات الدولية المشتركة في مبحثين منفصلين.
وعادة ما يعتمد قيام ونجاح واستمرار المشروع الدولي المشترك على العلاقة بين الشركاء، بيد أن هذه العلاقة قد تتعرض لمشاكل خاصة بالمشروع الدولي المشترك نتيجة لتغيرات قد تطرأ على المشروع اثناء حياته تحوله من صيغة إلى أخرى، أو من شكل إلى آخر، أو تستبدل بالشريك في المشروع شخصاً آخر لم يكن شريكاً، كما قد تثير موضوعات السيطرة وإدارة المشروع مشاكل صعبة في علاقات الشركاء بعضهم ببعض، وسوف يضم الفصل الثالث مبحثين منفصلين لمناقشة هاتان الفئتان من المشاكل الخاصة بالمشروعات الدولية المشتركة التي قد تتعرض لها العلاقة بين الشركاء.
