الأعمال المادية بالمقابلة إلى الأعمال القانونية، فلم يتناولها المشرع في نطاق عقد واحد، بل راعى الظروف التي تتم فيها هذه الأعمال، ففرق بين العمل الذي يتم تحت إدارة وإشراف صاحب المصلحة فيه، ونظمه بإسم عقد العمل، والعمل الذي يقوم به الفرد مستقلاً دون أن يخضع في ذلك لإدارة أو إشراف شخص آخر، وهذا هو عقد المقاولة. ثم ما لبث المشرع أن قيد نطاق المقاولة فنظم صوراً خاصة منها تنظيماً مستقلاً، بحيث خرجت هذه الصور من الإطار العام للمقاولة، لتدخل في إطار خاص بها، وهكذا عرف المشرع عقد الوديعة (المواد من 718-729)، وعقد الحراسة (المواد 729-738)، وعقد النقل (المواد من 90- 104من قانون التجارة)، وعقد السمسرة (المواد من 66-75 من قانون التجارة)، وتتحدد دراستنا لعقد المقاولة بالنطاق الذي حدده المشرع لها، أي بالمواد 646-668 الواردة في القسم الأول من المجموعة المدنية، الكتاب الثاني، الباب الثالث الخاص بالعقود الواردة على العمل ورغم أن هذه المواد تنطبق على جميع المقاولات أياً كان محلها، بإستثناء ما وضع له المشرع إسماً ونظاماً خاصاً، فإن كثير من الأعمال التي تدخل في نطاق المقاولة يتميز بأحكام خاصة به، بحيث يمكن القول بأنه إلى جانب الأحكام العامة التي تنطبق على كل المقاولات، توجد أحكام خاصة تنفرد بها بعض صور المقاولة، ومن هذه الصور مقاولات النشر والإعلان وتقديم المسرحيات والعروض التمثيلية والموسيقية والسينمائية، ومقاولات المباني التي حرص المشرع أن يورد نصوصاً بها في سياق تنظيمه لعقد المقاولة بصفة عامة.
ونقسم خطة الدراسة لعقد المقاولة على ثلاثة أبواب رئيسية: الباب الأول في أركان المقاولة، والثاني في آثارها، ونخصص الباب الثالث والأخير للكلام عن إنقضاء المقاولة.
