ليس الاعتماد المستندي موضوعاً مألوفاً للفرد العادي، مع ذلك لا تكاد تمر من حياته ساعة زمن دون تناوله أو استعماله شيئاً ثم تمويل شرائه أو شراء مادته الأولية بواسطة هذه العملية المصرفية، لأن غالبية صفقات التجارة الدولية يتم تمويلها بمعرفة المصارف وعن طريق الاعتماد المستندي. حيث إن التجارة الدولية تتطلب تدفق البضاعة من البائع إلى المشتري، والدفع من المشتري إلى البائع، فالبائع يرغب بتصدير بضاعته إلا أنه يحتاج إلى وسيلة تضمن له تسديد قيمة هذه البضاعة، والمشتري يرغب في استيراد هذه البضاعة إلا أنه يحتاج إلى وسيلة تضمن له وفاء البائع بالتزامه بشكل صحيح. وغالباً ما يكون طرفا عقد البيع (البائع والمشتري) متباعدين ولا يعرف احدهما الآخر أو حقيقة المركز المالي للطرف الآخر.
ومن ثم لابد من وجود وسيلة تضمن للبائع حقه في ثمن البضاعة وللمشتري حقه في استلام هذه البضاعة، فكانت فكرة الاعتماد المستندي كوسيلة دفع مضمونة تحقق مطالب طرفي عقد البيع، وكذلك تحقق العديد من المزايا للمصرف مانح الاعتماد، إلا أن هذا الأخير في كثير من الأحيان يتعرض للمسؤولية تجاه العميل الآمر بفتح الاعتماد وتجاه المستفيد من الاعتماد عند إخلاله بالتزاماته المرتبة عليه تجاههما واهتمامنا بهذه الموضوع وسبب اختيارنا له يرجع إلى محاولة تحليل وتقويم موقف المشرع العراقي الذي نظم واهتم بهذه العملية المصرفية، إلا أنه بعد صدور قانون التجارة العراقي رقم 30 لسنة 1984 النافذ حالياً الذي نظم أحكام الاعتماد المستندي، فقد تم تعديل القواعد والاعراف الدولية الموحدة الخاصة بالاعتمادات المستندية مرتين من قبل غرفة التجارة الدولية، في حين أن النصوص المعالجة لموضوع الاعتماد المستندي في قانون التجارة العراقي ظلت على حالها دون أي تغيير أو تعديل على الرغم من كثرة التغيرات التي حدثت في الآونة الأخيرة في نطاق التجارة وفي نطاق العمليات المصرفية على الصعيدين المحلي والدولي في ظل هذا التطور التقني الكبير، ولذا نحاول أن نبحث عن الثغرات والنواقص الموجودة في القانون العراقي بعد دراسة وتحليل النصوص المتعلقة بالاعتماد المستندي فيه لنحاول معالجتها وإيجاد الحلول المناسبة لها قدر الإمكان.
