يتضمن هذا المؤلف شرحا وافيا لاحكام الصلح الواقي والافلاس التي جاء بها قانون التجارة الاردني. وقد نظم المشروع احكام الصلح الواقي والافلاس في الكتاب الرابع من قانون التجارة، في المواد من 290 الى 477، فبدأ اولا بتنظيم احكام الصلح الواقي، ثم نظم ثانيا احكام الافلاس، فصاحب التفليسة من بدء افتتاحها الى حين انتهائها مبنيا شروط اشهار الافلاس مشيرا الى الاشخاص الذين لهم شان فيه مستظهرا اثاره ومفصلا كيفية ادارة التفليسة منشئا للتفليسات الصغيرة اجراءات بسيطة، ثم نظم بعد ذلك الافلاس بالتقصير او بالتدليس ورد اعتبار المفلس. ولا يخفى ما لموضوعات هذا المؤلف من اهمية لدى رجال القانون في الاردن، مرادها الى بقاء موضوعات الافلاس بصفة عامة، وحتى هذه الاونة الاخيرة، بعيدة عن دائرة اهتمام فقه القانون التجاري في الاردن بسبب تدريس هذه الموضوعات في كليات الحقوق في مساق واحد مع الشركات التجارية وفي فصل دراسي واحد بحيث لا تنال قدرا وافيا من الوقت لتدريسها. وسنرى من خلال شرحنا لهذه الاحكام ان هناك بعض اوجه النقص والقصور فيها، مما يتعين على المشرع ان يستكمل في تشريع جديد مواطن النقص في هذه الاحكام ويزيل ما اكتنفها من غموض او لبس ويقوم ما اعوج منها، لتستجيب هذه الاحكام لحاجات التجارة المتطورة والضرورات العلمية التي املت هذا النظام الذي يهدف الى تنشيط الائتمان ودعم الثقة في المعاملات التجارية. وقد حاولنا عرض موضوعات هذا المؤلف، على الرغم من وعورتها وتعقيدها، باسلوب يتسم بالوضوح ودقة التعبير مبتعدين بقدر الامكان عن المناقشات الفقهية التي قد تربك القارئ الا المفيد منها كلما كان لازما في المسائل التي اختلف الراي بشانها. كما حاولنا الا تكون دراستنا لاحكام الافلاس نظرية فقط، فاوردنا تطبيقات القضاء للمبادئ التي اخذ بها التشريع، ايمانا منا بان اهمية نظام معين لا تظهر الا بقدر تطبيقه علميا، كما ان لاحكام القضاء دورا هاما في تطوير وارساء القواعد القانونية باعتبارها من مصادر التشريع، اذ غالبا ما يقنن المشرع المبادئ الهامة التي قررها القضاء، ولا سيما القضاء التجاري الذي يستمد غالبية قواعده من العرف قال عنه الفقيه الفرنسي اسكارا – بحق – انه الضمير العام للسوق، والقضاء وهو يستوحى هذا الضمير، يكشف عنه ويرسي قواعده. وبالنظر لقلة احكام القضاء الاردني لجئنا الى عرض بعض الاحكام التي صدرت عن القضاء المصري والعراقي واللبناني والسوري والكويتي والفرنسي. ونرجو ان نكون قد وفقنا في هذا الجهد الذي لا نشك في بعده عن الكمال خدمة للمشتغلين بالعلوم القانونية واثراء للمكتبة القانونية العربية.
