إن العقد ينعقد حتى الآن، اتفاق بين القانون الأنجلو أمريكي من ناحية والقانون المدني المصري والفرنسي من ناحية أخرى غير السبب. وتفسير ذلك، أن النظام الأنجلو أمريكي، يختلف عن النظام اللاتيني، في ركن أوجب توافره في العقود غير الشكلية ويسمى المقابل The consideration.
إذ المسلم به الآن في فقه القانون المدني على اتساعه، أن النظام الأنجلو أمريكي قد استبدل المقابل ركنًا في العقد لديه بالسبب ركن العقد في القانون المدني المصري والفرنسي. وليس ثمة شك الآن في وضوح موضوع الدراسة في هذا البحث. إذ يتمثل في المقابل باعتباره ركنًا في العقود البسيطة في نطاق القانون الأنجلو أمريكي.
وتأسيسًا على ذلك، فإن دراستنا تنحصر في المقابل ركن العقد في القانون الأنجلو أمريكي لنتساءل. ما المقصود بهذا المقابل وما هو أصل نشأته وتطوره؟ ما هي طبيعته وما شروطه؟ ما هو دوره في العقد، وهل يختلف عن السبب؟
وفي ضوء ما تقدم، فإن دراستنا سوف تقع في ثلاثة أبواب هي: [الباب الأول: طبيعة المقابل، الباب الثاني: المقصود بالمقابل وشروطه، الباب الثالث: المقابل والسبب في النظام اللاتيني]، يسبقها الباب التمهيدي: تأصيل المقابل في القانون الأنجلو أمريكي، ثم الخاتمة في النهاية.
