قامت النظرية المالية التقليدية التي تمثلت ركائزها في مبادئ المراجحة Miller et Modigliani ومبادئ إدارة المحفظة المالية لــ Markowitz ونموذج تسعير الأصول الرأسمالية لـ Sharpe, Linter, Tobin et Fama ونموذج تسعير الخيارات لـ Black Sholes et Merton ، على فرضية أساسية تتمثل في كفاءة السوق مضمونها بأن تعادل أسعار الأصول المالية قيمها الأساسية، مستخدمة أدوات تحليلية محدودة في بناء نظرية موحدة تمكنها من الإجابة على كل التساؤلات في المجال المالي وبما أن كل بناء نظري يحتاج لدراسات تجريبية فإن النظية المالية التنفيذية واجهت في دراساتها التجريبية عدة ألغاز عجزت على تفسيرها وقد واجهت في حله إشكالية مبدأ العقلانية التامة للأعوان الذي قامت عليه كل نماذج توازن السوق في هذه النظرية، وهو ما يبين العيوب التي تعاني منها هذه النظرية وتبرز الحاجة الماسة لإعادة بناء نظري يقوم على إعتبار دراسات أكثر واقعية لسلوك الأعوان.
لذا، فقد ظهرت مقاربة المالية السلوكية التي بنيت على مجموعة أدوات بعضها إستخدمتها النظرية المالية التقليدية والبعض الآخر يختلف في كونه يعكس أنماط متباينة للسلوك غير المتجانس للأعوان، أخذت تلك الأدوات من علوم إجتماعية أخرى كعلم النفس وعلم الإجتماع وتتمحور أساساً حول سيكولوجيا الأعوان في معاملاتهم المالية.
