مع انتشار حركة التجارة في العصور الوسطى وبخاصة في الجمهوريات الإيطالية الشمالية، بدأ يتبلور المفهوم الحديث لشركات الأشخاص. ومع انتشار السياسة الاستعمارية في أوربا في القرن السادس عشر والسابع عشر، والحاجة إلى رؤوس أموال ضخمة لدعم وتمويل اكتشافات واستثمارات المستعمرات الواسعة في الهند وأفريقيا، نشأت فكرة شركة المساهمة. كما ظهرت الشركة ذات المسئولية المحدودة في ألمانيا في 1892.
والشركات التجارية الخاصة، كما تعرفها التشريعات المصرية المعاصرة، تنحصر في أنواع ستة رئيسية تتمثل في شركة التضامن، وشركة التوصية البسيطة، وشركة المحاصة، وشركة المسئولية المحدودة، وشركة التوصية بالأسهم، وشركة المساهمة. وقد جرى تقسيم الشركات السابقة طبقًا لما استقر عليه الفقه إلى أقسام ثلاثة رئيسية، على النحو التالي: شركات الأشخاص، شركات الأموال، الشركات ذات الطبيعة المختلطة.
وتقتضي الدراسة، قبل أن نعرض إلى كل نوع من أنواع هذه الشركات بالتفصيل، أن نعرض لبعض القواعد العامة التي تنطبق على كافة أنواع الشركات الخاصة، سواء كانت تجارية أو مدنية. وإلى جانب هذه الشركات الخاصة، توجد شركات قطاع الأعمال العام، وهي شركات من نوع خاص، وتخضع هذه الشركات إلى أحكام قانون خاص هو القانون رقم 203 لسنة 1991، وتنظم أحكام هذا القانون القواعد الخاصة بالشركات القابضة والشركات التابعة لها.
وسوف تقتصر الدراسة في هذا القسم على شركات القطاع الخاص، ونقسم دراستنا في هذا الصدد إلى أبواب أربعة: الأحكام العامة للشركات، شركات الأشخاص، شركات الأموال، الشركات ذات الطبيعة المختلطة.
