في السنوات الأخيرة استحوذت ممارسات الشركات متعددة الجنسية في مجال حقوق الإنسان على اهتمام كبير. وقد لفتت الانتهاكات الصارخة لحقوق الإنسان الناتجة عن أنشطة هذه الشركات انتباه واستياء الجمهور والمجتمع الدولي، واعتمدت على أثر ذلك مجموعة من المبادرات الحكومية وغير الحكومية تهدف أساسًا إلى كبح جماح الشركات متعددة الجنسية وتحسين التزامها بمعايير حقوق الإنسان الدولية. ونتيجة لهذا التطور أصبحت على المحك الفكرة التقليدية القائلة: إن الدول هي وحدها التي يمكن تحميلها المساءلة عن انتهاكات حقوق الإنسان. ومع ذلك يمكن الاستنتاج، في هذه المرحلة التمهيدية، بعدم وجود آليات لنسب مسؤوليات حقوق الإنسان إلى الكيانات من غير الدول. وبذلك ما يزال عدم التيقن يكتنف بمسألة مسؤولية الشركات عن انتهاكات حقوق الإنسان. وتركز هذه الدراسة على عدم التيقن هذا، وتحاول أن تناقش الجهة التي يمكن تحميلها المسؤولية عن انتهاكات حقوق الإنسان.
في إطار ما تقدم يتألف هذا الكتاب من ثلاثة فصول. يعرض الفصل الأول المركز القانوني الدولي للشركات متعددة الجنسية. ويتناول مفهوم هذه الشركات في ضوء التعبيرات التي أطلقت عليها، ومدى تمتعها بالشخصية القانونية الدولية. في حين يعالج الفصل الثاني قضية مسؤولية الدول عن انتهاكات الشركات لحقوق الإنسان من خلال استعراض القواعد العامة في القانون الدولي بشأن مسؤولية الدول الدولية، وبالتحديد القواعد المتعلقة بمسؤولية الدولة عن الأعمال أو الإغفالات الخاصة في مجال حقوق الإنسان، وتبيان المدى الذي يمكن أن تترتب فيه مسؤولية الدولة الدولية عن أنشطة الشركات وذلك بتسليط الضوء على التزامات حقوق الإنسان لكل من الدول المضيفة لأنشطة الشركات متعددة الجنسية ودول مقار أو موطن هذه الشركات. أما الفصل الثالث فيبحث في تحميل الشركات المسؤولية عن انتهاكات حقوق الإنسان. وهو يبدأ في ذلك بفحص التزامات الشركات بموجب هذا القانون لبيان ما إذا كان يمكن تحميلها فعلًا المسؤولية بموجب هذه الصكوك، ثم ينظر في إمكانية فرض التزامات مباشرة على الشركات متعددة الجنسية، ويستعرض بعد ذلك مسؤولية الشركات عن الجرائم الدولية من خلال تناول ما إذا كانت الشركات تتحمل مسؤولية جنائية بموجب القانون الدولي وما طرأ من تطورات على صعيد بعض النظم القانونية الداخلية فيما يتعلق بإمكانية مقاضاة الشركات عن الجرائم الدولية.
