يدرس موضوع "النظام القانوني للمؤسسة الوطنية للنفط"، فالمؤسسة الوطنية الليبية للنفط، إحدى أهم المؤسسات الإقتصادية داخل الدولة، وهي تمثل العمود الفقري لإقتصاد الدولة وأداة فعّالة لتنفيذ سيادتها على مواردها النفطية في مختلف المراحل الإستثمارية سواء أكانت إستكشافية أم إنتاجية، أم تسويقية، وذلك من خلال الشركات الوطنية التابعة لها أو من خلال التعاقد مع الشركات النفطية الأجنبية، وهي بذلك تمثل الدولة، بإعتبارها مؤسسة عامة ذات طبيعة إقتصادية، تشكل في حقيقتها العمود الفقري لإقتصاد الدولة، إذاً فهذه الدراسة تبين تنظيم المؤسسة الوطنية للنفط من الناحية القانونية، من النشأة إلى الإنتهاء مع تطورها وتأثرها بنظرية المؤسسات العامة الإقتصادية.
فأهمية دارسة هذا الموضوع لم تقف إلى هذا الحد، فبروز المؤسسة كرأس وطني للتعامل مع غيرها من الشركات النفطية الأجنبية، حيث تشكل في حقيقتها نقطة تماس مع تلك الشركات، إذاً فمن الأهمية أن تكون هذه المؤسسة في موقف الند أو الند المتقارب مع الشركات الأجنبية، وخاصة وإن كانت أهداف كلا الطرفين مختلفة عن الآخر، وعليه لا يمكنها القيام بهذا الدور على الوجه الأكمل إلا بالوقوف على التشريعات المنظمة للمؤسسة ودراستها دراسة تحليلية شاملة ودقيقة يكفل من خلالها الوقوف على المثالب والخطوب التشريعية، التي تعيق تحقيق أهداف المؤسسة وتمثيلها للدولة في إستثمار الموارد النفطية، وحتى نتمكن من وضع حلولٍ لها وتقويمها بشكل يضمن تحقيق الأهداف المرجوة منها.
