يعد القطاع المالي بشكل عام والقطاع المصرفي بشكل خاص في الوقت الحاضر دعامة أساسية لبناء إقتصاد وطني قوي وتطويره ودفعه نحو عملية التنمية إذا كانت الأسس في بناء هذا القطاع قوية ومتينة ومبنية على التخطيط والدراسة، وعلى الأخص القطاع المصرفي الخاص بإعتباره المحور الأساسي الذي يقوم عليه عملية الإئتمان، حيث تقوم المصارف الخاصة بدور حيوي ومركزي في الإقتصاد الوطني عن طريق القيام بدور الوسيط من خلال قبول ودائع الجمهور ومن ثم إقراضها إلى المستثمرين أو المساهمة في المشاريع الإستثمارية نظراً للقدرة العالية التي تتمتع بها تلك المصارف في تجميع الموارد المالية بكفاءة لخدمة الأغراض الإنتاجية والتمويلية والتنموية.
تتطلع العراق حالياً إلى إصلاح الأوضاع القانونية والتنظيمية لقطاعه المصرفي الخاص بعد أن تميز بها في السابق بسيطرة وهيمنة الدولة والتدخل في شؤونها، وكل ذلك بهدف إيجاد نظام مصرفي يستند إلى عوامل وآليات السوق ويكون قادراً على الوفاء بمتطلبات إقتصاد أكثر تحرراً وتوجهاً نحو القطاع الخاص، وكذلك تعزيز دور ومكانة المصارف الخاصة في الإقتصاد العراقي.
تهدف هذه الدراسة إلى بيان التنظيم القانوني الذي يحكم عملية تأسيس المصارف الخاصة التي تؤسس في العراق على شكل شركة مساهمة خاصة ودراسته من خلال تسليط الضوء على مفهوم المصارف الخاصة ومدى علاقتها بعملية الخصخصة وتحديد مستلزمات تأسيسها وبيان إجراءاتها وفق القوانين العراقية كقانون المصارف لسنة (2004) وقانون البنك المركزي العراقي لسنة (2004) وقانون الشركات رقم (21) لسنة (1997) المعدل، وكذلك القوانين المقارنة.
