يتناول هذا الكتاب تعريف الضمان لغة واصطلاحاً وشرعاً وقانوناً ثم يعدد أسباب الضمان والتصرفات القانونية ثم يذكر العقد وتصنيف العقود من حيث الضمان وضمان العقود في القانون والواقعة القانونية والفعل الضار وما ينتج عنه من إتلاف وغصب وفعل نافع يشير إلى يد الضمان من اعتداء وحكم الشارع فيه ثم يذكر شروط ضمان الإتلاف إن كان المضمون مالاً أو محترماً أو يكون الضرر الناتج عن الضمان محققا لا محالة وكون الضمان أهلا لوجوب الضمان ومستنداً إليه وفي الفصل الثاني يشر إلى أثر الضمان في كسب ملكية المضمونات ومنها الأموال المضمونة والواجب في الضمان وشروط كسب الملكية بالضمان وصور الإتلاف وإتلاف العين حقيقة وإتلاف العين حكماً وتغير العين المضمومة وخلط العين بغيرها واستحالة رد العين ودفع تعويض وصلاحية العين لثبوت الملك فيها واحتلال العين المضمونة ومدى سريان امتياز مالكها الأصلي عليها ثم امتلاك الضامن للعين المضمون وامتياز مالكها الأصلي عليها.
