إن إنشاء وتشغيل وإدارة المرافق العامة التي تقدم الخدمة للجمهور، كان ولا يزال الشغل الشاغل للدولة القديمة والحديثة على حد سواء، ولم تتخل الدولة يوماً عن مسؤولياتها تجاه هذه المشاريع التي تمس البنية الأساسية للدولة. إلا أنه وفي ظل نظام العولمة وتحرير التجارة الدولية بين الدول وظهور نظام الخصخصة أو التخاصية، فقد ازدادت الأعباء على الدول مما أثقل كاهلها وأصبحت لا تستطيع تمويل كافة مشاريع البنية الأساسية وإدامة تشغيلها بشكل يوفر الخدمات المطلوبة منها على الوجه الأكمل وبما يواكب تطورات العولمة والانفتاح على السوق الحر. وكون مشروعات البنية الأساسية تقوم على أساس تقديم الخدمات للجمهور وعلى نطاق واسع، فإن الدولة تحرص كل الحرص على إخضاعها لإشرافها ورقابتها المباشرة والمستمرة. ولكن وبسبب قلة موارد الدولة المادية وعدم قدرتها على مواكبة تطورات العصر والتحول نحو العولمة وسياسة السوق الحر والتخاصية فقد وجدت الدول أن أفضل السبل لإدامة عمل المرافق العامة هي اللجوء إلى عقود الامتياز التي تعطي القطاع الخاص الحق في إنشاء وتشغيل هذه المرافق تحت إشراف ورقابة الدولة، وكان من أهم عقود الامتياز أو الأنظمة التي لجأت إليها الدول في إنشاء وتشغيل المرافق العامة هو ما يطلق عليه نظام البناء والتشغيل ونقل الملكية، وهو نظام تعهد بمقتضاه الدولة إلى أحد أشخاص القانون الخاص بإنشاء واستغلال مشروع معين لفترة محددة على أن تنقل ملكية المشروع ــ بدون مقابل أو بمقابل متفق عليه ــ إلى الدولة في نهاية مدة الامتياز. الانترنت).
