يعرض الكتاب القانون الذي يسوس مفاعيل العقد، تجاه الفرقاء (تفسير العقد ووصفه ومدته) وتجاه الغير (الحجية والعلنية القانونية والغش البولياني، أو البولصي والصورية، والتمثيل، والاشتراط لصالح الغير، والتنازل عن العقد، والدعوى المباشرة)، وهو يقدم نظرية عصرية للعقد مبنية على تحليل معمق للفقه وللقانون الوصفي، وعلى وجه الخصوص لاجتهاد محكمة النقد (أو محكمة التمييز في لبنان). أنه تتمة تكوين العقد في المطول في القانون المدني. ويضم الكتاب أيضاً فائدة النقاش الفقهي الذي نمى حديثاً في شأن التفريق بين الفرقاء والغير لتقديم معيار جديد وتصنيف جديد مستَنْتَجَين من ذلك، ويبسط النتائج، ولا سيما فيما يتعلق بالنظام والموقف المناسب في شأن التنازل الاتفاقي المفترض عند العقد، ويحدد بدقة الروابط التي توحد الدعاوي المباشرة ومجموعات العقود.
