ينطلق هذا الكتاب أساساً من البحث القانوني المتخصص الذي أجراه الباحثان ضمن مادة (القانون الجنائي)، ويجئ بوصفه جهداً إضافياً على أعمال الفصل المقررة للطلبة استناداً إلى متطلبات نيل درجة الماجستير في القانون،حيث يتناول موضوعاً قانونياً على درجة بالغة الأهمية هو المسؤولية الجزائية للشركات التجارية، وتعدد المنشآت الاقتصادية وتطورها وتعاظم المنافسة فيما بينها، حيث برزت ضرورة تنظيم هذا القطاع بقوانين وتشريعات تنظم المنافسة وتقننها للارتقاء بالاقتصاد على اعتبار أن الأخلاق والقيم هما أساس التشارك ،فكان لزاماً على المشرعين تنظيم نصوص قانونية تكفل حمايتها وإرشادها، وقد التزم هذا الكتاب ببيان المسؤولية الجزائية، وليناقش إذا ما كان المشرعون قد راعوها في تعاملهم مع الشركات التجارية، وتحقيقاً لهذا الغرض اعتمد الباحثان أسلوباً ميسراً سهلاً يعتمد على منهج تحليلي للنصوص القانونية، فكان التركيز على المشكلة الاقتصادية بالتنفيذ واقتراح الحلول الملائمة لها، وهو ما كلف الباحثين الجهد والوقت في محاولة الاطلاع على وسائل مواجهة تلك المشكلات القانونية وحلها في تشريعات الدول المتقدمة في هذا المجال ومحاولة الاستفادة منها. لقد تناول هذا الكتاب بكل اقتدار مفهوم الشراكة وأنواعها والتشريعات التي نظمت الشركات في الأردن، إضافة إلى النظرية العامة للجريمة ومفهومها في نطاق الشركات، وكذلك المسؤولية الجزائية للشركات التجارية في طور إنشائها ومزاولتها لأعمالها، والمسؤولية الجزائية للشركات التجارية في طور تصنيفها وإفلاسها. وبناء على ما سبق، يجئ هذا الكتاب رغبة في تحقيق الفائدة ونشرها ووضع المعلومات والمعرفة في متناول يد المهتمين والمتخصصين من قضاة ومحامين وطلاب علم وباحثين.
