"لا شركة بدون مساهمة"، يكاد يكون هذا المبدأ محل تكريس من قبل كل النظم القانونية، وفي كل أصناف الشركات، وفي الشركات التجارية بالذات، باعتبارها أداة لتجميع الأموال من أجل مباشرة أنشطة اقتصادية لا يمكن عادة للفرد وحده أن يباشرها، فضآلة الموارد اللازمة لذلك تمنعه، وجسامه المخاطر الملازمة لعملية الاستثمار تعيقه، ولذلك فهو يلجأ إلى تقنية الشركة.
إن الطابع العيني للسماهمة يطرح إشكالاً يتعلق بضرورة التوفيق بين اعتبارات المرونة عند التأسيس وحماية حقوق الغير وحقوق بقية الشركاء. الأمر الذي يبرر التساؤل عما إذا كان المشرعون قد استطاعوا إيجاد نقطة توازن تؤدي إلى الحفاظ على درجة من المرونة في تأسيس الشركة، من خلال تنظيمهم للمساهمات العينية، دون أن تؤدي إلى المساس بحقوق الغير ولا بحقوق بقية الشركاء؟
يقع هذا الكتاب في جزئين: الأول يبحث حماية حقوق الغير من الطابع العيني للمساهمة، وهو يرتب جملة من الالتزامات على عاتق المساهم داخل الشركة دون أن يمنحه المزيد من الحقوق مقابلها بحيث يبدو أن الطابع العيني يرتب نوعاً من التمييز بين الشركاء (الجزء الثاني).
