أن مضمون العقد يتحدد بما أنشأ من حقوق وإلتزامات، سواء أتم ذكرها صراحة في العقد أو ضمناً، إلا أن الخلاف قد يثور بين المتعاقدين عند غموض التعبير أو الإلتباس بما ورد في بنودهِ، أو ممّا لم يكن مُحرّراً ولم تُدرك طبيعته أو شروطه، مما يتعين معهُ على القاضي إستخلاص مضمون الإرادة المشتركة للمتعاقدين من مجموع وقائع العقد وظروفه، ولا يتأتى ذلك إلا بعد التثبت من وجود العقد وصحة إنعقادهِ.
وإذا كان مفهوم سلطة القاضي في تفسير العقد يتحدد بإستنباط مضمون الإرادة المشتركة للمتعاقدين، إلا أن للفقه والقانون إتجاهات مختلفة في تحديد المقصود بالإرادة المشتركة للمتعاقدين، وماهية الغموض المبرر للتفسير، وعلاقة سلطة القاضي في تفسير العقد بسلطته في تكييفه وتكميله وتحوله وإنتقاصه وتعديله.
وإذا كان قاضي الموضوع يتمتع بسلطة تقديرية في الكشف عما قصده المتعاقدان، إلا أنه لا يجوز بحجة تفسير العقد تطبيق بعض شروط العقد الواضحة من دون البعض الآخر، أو الإنحراف عن تعبيرها أو التعديل فيها إلاّ في الأحوال المنصوص عليها قانوناً.
فعلى قاضي الموضوع إتباع قواعد تفسير العقد الملزمة، لبلوغ حقيقة مضمونه، وصولاً إلى التكييف القانوني السليم.
وذلك مما اقتضى تقصي الموقف الفقهي والقانوني المقارن في تحديد مفهوم سلطة القاضي في تفسير العقد ونطاقها، وبيان الأصول المتبعة في التفسير القضائي، ومدى الرقابة على سلطة القاضي في تفسير العقد.
