في الوقت الذي توسعت فيه موضوعات البحث الفقهي في عددٍ من الأبواب الفقهية، فإنه لم يطرأ تطور ملحوظ على المسائل التجارية المتصلة بالشركات، مع ما طرأ من تطور كبير في العالم. ولذلك يلاحظ على البحث الفقهي في هذا الحقل قِدمه من جهة، وضموره من جهة أخرى، في وقتٍ تُخصص فيه كليات (معاهد) القانون بحثاً موسعاً في الشركات فضلاً عن الفقه التجاري عموماً.
ولهذه الجهة اختار السيد محمد حسين فضل الله أن يبحث في كتابه هذا الذي بين يدي القارئ (فقه الشركة) وفقاً لكتاب محَدت يجمع فيه ما كان وهو قائم فعلاً. فوقع اختياره على كتاب الشركة من كتاب (الوسيط في شرح القانون المدني) لأحد أشهر أساتذة القانون في البلاد العربية الدكتور عبد الرزاق السنهوري.
ولأهمية هذين الكتابين أغنى "محمد الحسيني" بجمع مادتهما، مضمناً الجزء الأول من الصفحة بحث الدكتور السنهوري في الشركات وبعد ذلك وضع الشرح الذي دونه "السيد محمد حسين فضل الله" والذي ضمّنه شرحاً للقواعد الفقهية، وتعليقاً على موارد الاختلاف حكماً وتكييفاً، أما في الهامش فدوّن ما سجله السيد حسين فضل الله من تعليقات.
