العقد هو توافق إراديين على أحداث روابط قانونية ملزمة، فيكون هذا التوافق مصدر موجبات يلتزم بها طرفاه اللذان أراداه في تكوينه وأثره.
ويتميز العقد أنه يتولد عن إرادتين أو أكثر وما ينشأ عنه من موجبات يكون ملزماً لطرفيه اللذين أراداه. فيكون طابع الإلزام الذي يلزمه هو العامل الأهم فيه. ويخضع العقد لمبدأ أساسي تتفرع عنه مبادئ وتنبثق منه مسلحات، وهذا المبدأ هو مبدأ سلطان الإرادة، وهو المبدأ الذي يحكم العقد في تكوينه ويرعاه في تنفيذه وعند انتهائه.
وفي هذا الكتاب يعرض المؤلف كل ما يتعلق بنظرية العقد حيث يمهد لذلك بباب تمهيدي قبل أن يتناول الأحكام العامة والخاصة بالعقد وتعريفاته والمبادئ التي تحكمه وأنواعه، ويلقي الضوء على عناصر تكوين العقد وشروط صحته، وآثاره، وإن كان العقد صحيحاً ينتج آثاره وهي آثار تختلف باختلاف العقود، فعقد البيع ينشئ موجب نقل الملكية، وعقد الإعارة ينشئ موجب المحافظة على الشيء المستعار، وعقد العمل يولد موجب القيام بالعمل المشروط فيه. والآثار المتولدة عن العقد ملزمة لطرفيه ولمن يمثلان، فلا تمتد إلى الغير. وهذا الكتاب موجه لطلبة المعاهد القضائية وكليات الحقوق كما المحامين الذين سيجدون فيه معيناً لهم في عملهم.
