يعد عقد تداول الأوراق المالية من الأعمال التجارية الذي يتطلب لصحة التعامل به وترتيب الأثر من ورائه أن يتم من قبل وسيط مخول قانوناً، إذ أن المستثمرين لما يتصف به هذا التداول من عمليات متشابكة ومتداخلة، ولرغبتهم بالإبتعاد عن التعقيد في تسويتها، نظراً لتنافر هذه الصفة مع ما يتطلبه أمر مزاولة النشاط التجاري من مرونة وبساطة أخذوا باللجوء إلى تسوية هذه العلاقات بطريقة مبسطة وسهلة تتمثل بتخويل شركة وساطة تتولى تداول الأوراق المالية داخل البورصة بدلاً من إجراءها من قبل هؤلاء المستثمرين، مع ملاحظة أن معظم التشريعات المنطقة لتداول الأوراق المالية قد قصرتها على الوسيط.
ولما تناله دراسة مسؤولية الوسيط - على إعتباره شخصاً مهنياً ومتخصصاً - عموماً، وفيما يتعلق بإبرام عقد الوساطة مع المستثمر خصوصاً من أهمية، وذلك لكون الوساطة بتداول الأوراق المالية مهنة محتكرة بموجب القانون للوسيط يقدم الأخير من خلالها خدماته لزبائنه، إذ أن الغاية التي يروم الأفراد الوصول إليها من تعاملهم مع - الوسيط تحديداً - تتعدى مجرد حماية أموالهم بتعاملهم مع شخص مهني محترف ليصبح لديهم وسيلة لتحريك هذه الأموال وإستثمارها، وذلك لما يضطلع به الوسيط من دور في تنشيط وتفعيل حركة الإقتصاد في أي بلد وذلك لما يقدمه من خدمات تمس الناحية الإقتصادية والمالية للمتعاملين معه، وحيث أن إبرام عقد الوساطة يعدّ عملية تعاقدية ترتب أثاراً متنوعة تختلف في تحديدها تبعاً لكل طرق فيه.
وقد يمس أثر إبرام هذه العملية أو تنفيذها بالغير فإن هذا يقتضي وجوب تحديد الإطار العام لها وتنظيمها بشكل لا يجعل منها بالمقابل وسيلة للأضرار بأشخاص لم يكون طرفاً فيها.
لهذا تناول هذا الكتاب موضوع المسؤولية التي يمكن أن تنشأ في مواجهة الوسيط وخاصة التي تنشأ في مجال ما يقدمه من خدمات لعميله المستثمر داخل بورصة الأوراق المالية، وهذا ضمن إطار موضوع مسؤولية الوسيط المدنية المترتبة تجاه المستثمر في سوق الأوراق المالية.
