يحيط هذا الكتاب بقواعد (القانون التجاري) في العراق مع نظرة حول إصلاح النظام القانوني فيه، ويفعل المؤلف ذلك من خلال إلقاء الضوء على شتى أنواع الحضارات التي ساهمت في تطور الفكر القانوني بدءاً من المدونات القديمة (شريعة حمورابي) مروراً بـ (الفتح الإسلامي) و (العهد العثماني)، حتى صدور القانون المدني العراقي عام 1951م.
وفي هذا الإطار تم تقسيم الكتاب إلى أربعة محاور هي "النظرية العامة" ، "التاجر" ، "العقود التجارية" ، "العمليات المصرفية" و "القطاع الإشتراكي".
هذه العناوين الرئيسية تم التطرق إلى دراستها من الناحية النظرية والتطبيقية. فعرف المؤلف المقصود بالعمل التجاري والنظريات التي تناولته ومنها: نظرية المضاربة، ونظرية التداول ونظرية المشروع ... وغيرها ، كما تناول النظام القانوني للعمل التجاري من حيث: اكتساب الصفة التجارية، ومن حيث الفوائد ومن حيث التنفيذ المباشر وغيرها من أنواع الأعمال التي تتخذ صفة التجارية، بالإضافة إلى البحث في قوانين الأعمال التجارية المنفردة مثل: شراء المنقول أو العقار لأجل البيع أو التأجير بقصد الربح وغيرها من عمليات البيع والإجارة وتوريد البضائع واستيرادها ومقاولات البناء والترميم والهدم والصيانة، والبيع في المزاد العلني، وكذلك الأحكام التي تخص التاجر والحِرفي وكل ممارس للنشاط التجاري ثم الشروط القانونية اللازمة لإبرام عقد التأمين وكذلك عقد البيع، وأخيراً بحث حول نشأة القطاع التجاري الإشتراكي في العراق ونظامه القانوني ...
