يتضمن هذا الجزء من كتاب العقد لمؤلفيه "ج. س. شيشير"، "س. و. فيفوت"، "م. ب. فيرمستون"، دراسة نظرية تدور حول أحكام العقد في القانون الإنجليزي وهو موجه لرجال القانون في العالم؛ وهدفه تقديم خدمة للقانون والمواطن باعتبار أن القانون علم إنساني رفيع، لا غنى للإنسان عنه في جميع مراحل التاريخ، ومن ثم يتعين على من يدرس القانون أو يمارس تطبيقه أن يلم إلماماً كافياً ومعقولاً بأهم مبادئ وقواعد قانون الالتزامات المدنية، إذ أنه بمثابة القانون الأم لكل أفرع القوانين المختلفة، حتى يمكن للقاضي أو المحامي أن يؤدي عمله على أسس علمية صحيحة.
أما الهدف الثاني من هذا الكتاب فهو تمكين القارئ العربي من الاطلاع على أحكام الالتزامات في القانون الإنجليزي باللغة العربية، قد يقنعه بأن هذه الأحكام لا تختلف في مضمونها وجوهرها عن أحكام القوانين العربية؛ بل وأحكام المعاملات في الشريعة الإسلامية، مما يدل على أن كلاً منها أحكام علمية إنسانية عالمية، تهدف إلى الخير والعدل، ولذلك يكون من المألوف والمعقول، أن ننظر إلى تلك الأحكام الأجنبية باعتبارها تراثاً ومنهلاً علمياً، نستقي منه ونهتدي به، ثم نضيف إليه مما عندنا، حتى تواكب النهضة العلمية لدينا النهضة الحديثة المعاصرة.
