التصرف القانونى هو وسيلة الأفراد لتبادل الالتزامات فاذا استوفى التصرف أركانه وشروط صحته كنا نأفذا اما إذا تخلف أحد أركانه كان باطلا لا يرتب أية التزامات فى ذمة طرفيه ولا يكون نافذا ، وهذا الجزاء فرضته طبيعة الأمور نتيجة لعدم اتباع الافراد ما أجبة المشرع من قواعد لتحقيق المصلحة العامة وأحيانا لتحقيق أحد وجوه المصلحة الخاصة . الأصل إذن أن التصرف الباطل لا يرتب أثرا إلا أن العدالة قد تصطدم أحيانا بهذا المبدأ خاصة بعد أن يكون العقد الباطل قد رتب مراكز قانونية ومصالح يستوجب خاصة بعد أن يكون العقد الباطل قد رتب مراكز قانونية ومصالح يستوجب البطلان زوالها وقد تكون هذا المصالح أولى وأجدر بالحماية من المصالح التى يهدف الى حمايتها تقرير البطلان .
