قيل: "إِحذر الشّوك في ثلاث: الشّركة الوكالة والكفالة"... ولعلّ العبرة بما تحمله هذه العقود من محاذير ومخاوف كونها تقوم على الإعتبار الشّخصيّ والثّقة المتبادلة بين المتعاقدين.
فجاء تنظيم الوكالة تفادياً لهذه المحاذير والمخاوف، غير أنّ هذا التنظيم، حمل في طيّاته بعض الثّغرات، فهو وإن حمى الموكّل بعدم إلزامه بما لا يرغب الإلتزام به، غَفِلَ عن حماية الغير الّذي تعاقد مع وكيلٍ معتقدّاً بأنّه وكيلٌ حقيقيٌّ لكنّه في الحقيقة وكيلٌ ظاهريٌّ، فهل يُبطَل هذا التّعاقد عملاً بنصّ المادة 806 م.ع. ويتحرّر الموكّل من أي إلتزام؟ أم يبقى ويُنيجُ مفاعيله القانونيّة؟.
هذا الواقع جعلنا نسلّط الضّوء على نظرية الوكالة الظاهرة والبحث في مفهومها وشروطها والأسس الّتي قام عليها والظّروف الّتي جعلت القضاء يسير بهذه النّظريّة فيُخفّف من صرامة القاعدة القانونيّة من دون المساس بجوهر النظريّة العامّة للموجبات والعقود.
فالوكالة الظّاهرة جاءت لحلّ الصّراع القائم بين الواقع والقانون، فتُنصف الغير حسن النّية الّذي تعامل بجدّيةٍ عند إبرامه للعقود، وتحثّ الموكّل صاحب الحق ليكون أكثر حرصاً وتنبّهاً في التّعامل بأمواله وأرزاقه خوفاً من ضياعها، فشكّلت بذلك وسيلة تقنيّة ملائمة لحلّ الصّراع بين الحقّ والعدالة.
