Book Description
تعني الشركة في الأصل المشاركة والتي لا يمكن أن تتحقق إلا ابتداءً من شخصين فأكثر ، لهذا فتعدد الشركاء في الشركة مسألة تقتضيها اللغة ويدل عليها النص والعرف ، فلا محل إذن للفظ الشركة إذا كنا بصدد شخص واحد ، ومنه فالمسمى القانوني لشركة الشخص الواحد لا يعول عليه باعتبار أن طبيعة المشروع هي ذاتها طبيعة الشركة المحدودة المسؤولية ، ولأن القول بغير هذا يخالف القاعدة الكلية التي تعتبر أن الكلام مقاصده ومعانيه لا لألفاظه ومبانيه .
والحقيقة أن الخلاف يكمن في تحديد ماهية الشركة على اعتبار أنها الإطار القانوني للمشروع ، وليس المسمى لهذا النظام ، أي حول ركيزة الشخصية المعنوية للشركة أهي العقد بمفهومه التقليدي كأساس للشركة أم هي فكرة النظام التي تنظر بدورها للشركة كنظام يتكفل المشرع رسم هيكله ، لهذا فإذا قامت الشركة على فكرة العقد فلا بد أن يُراعى ما يتطلبه هذا الأخير من ضرورة وجود متعاقدين أو أكثر ، إذ لا مكان للكلام إذن عن الشركة المكونة من شخص واحد ، فكأن الشركة لا وجود لها فهي كالعدم من حيث الأصل لغياب ركن التعدد اللازم لقيام أي شركة مهما كانت ، أما إذا راعينا في الشركة الفكرة النظامية فمعنى هذا أن الشركة هي مجموعة من القواعد القانونية تهدف إلى تحقيق غرض مشترك ، فيكون على هذا دور الأطراف محصوراً في الإعلان عن الرغبة في الإنضمام إلى الشركة ، ففي هذه الحالة لا يمكن أن نستند إلى فكرة العقد رغم أنه يعتبر في حد ذاته تصرفاً قانونياً إرادياً ، ومنه فحسب هذا المفهوم لا تتطلب الشركة بداية وجود شريكين فأكثر بل من المتصور جداً الإكتفاء بشخص واحد لقيامها ولا غرابة في هذا الوضع .
