يدرس هذا الكتاب موضوع أثر الخلاف بين الشركاء على حياة الشركة باعتبار أن نشاة الخلاف وسوء التفاهم بين الشركاء ووصوله إلى درجة من الخطورة على حياةالشركة بحيث يعرقل سيرنشاطها بصورة طبيعية يدل على اختفاء نية المشاركة وهى تعتبر بمثابة الروح التى جمعت الشركاء وأطلقت شرارة البداية للعمل الجماعي والتعاون المشترك بين الشركاء في سبيل تحقيق غرض الشكرة وهنا ينبغي الوقوف على أثر هذه الحالة الجديدة على حياةالشركة فهل تستمر حتى تنتهي المدة المحددة في عقد تاسيسها رغم وجود هذه الخلافات لأن العقد شريعة المتعاقدين بما يحول دون تعديله إلا بإرادة الشركاء. لقد أدرك المشرع المصري خطورة ظهرو روح الأنانية داخل الشكرة ومن ثم منح القضاء سلطة التدخل لتدارك هذا الانهيار الذي أصاب ركن من أركان الشركة فهو يقارن بين القانون المصري والقانون الفرنسي لزيادة إيضاح حجم المشكلة التى يتناولها البحث.
