تحتل نظرية العقود الإدارية اليوم أهمية بالغة فى تسيير المرافق العامة فى الدولة، سواء فى العلاقة الناشئة عن عقود الإدارة مع الأفراد أو الأشخاص المعنوية الخاصة أو في العلاقة التعاقدية بين الهيئات العامة فيما بينها. بعد أن تأكد ان إبرام الإدارة لعقودها في ظل قواعد القانون الخاص، لا يكفي لتحقيق أهدافها التي تحققها العقود الإدارية، عندما تظهر الإدارة بوصفها سلطة عامة، فتتمتع بحقوق وامتيازات لا يتمتع بمثلها المتعاقد معها تحقيقا للمصلحة العامة. وعندما تخضع لنظام قضائي خاص هو نظام القضاء الإداري الذي يتميز بكونه قضاء إنشائيا متخصصا يعمل على خلق القواعد القانونية المناسبة بصورتها الحالية التى سنعرض إليها فى هذه الدراسة أملين فى الكشف عن بعض ملامحها من خلال البحث فى نشأتها سواء فى فرنسا أم مصر أم ليبيا، وكذلك بيان معيار تمييز من حقوق والتزامات طرفية وأخيرا نهايته.
