تناولت هذه الدراسة "النظام القانوني لمجلس إدارة شركة المساهمة" دراسة مقارنة بين القانونين الأردني والمصري ولغايات البحث والتوسع في المفهوم والمعنى والإتيان بكل ما هو جديد فقد قمت بتقسيم هذه الدراسة إلى فصل تمهيدي وبابين حيث:
تناولت في الفصل التمهيدي، شركة المساهمة العامة من حيث التعريف بها وبيان خصائصها وطبيعتها القانونية، وهيكلها الإداري وتنبع أهمية دراسة ذلك، لما تتميز به شركات المساهمة العامة من طابع تنظيمي خاص بها، إذ تتعدد فيها الهيئات التي تسيّر شؤونها فهذه الشركة تخضع في إدارتها إلى تنظيم متكامل تتدرج فيه السلطات بين هيئات الإدارة بما يكفل لها تحقيق أغراضها وفقاً لما جاء في عقد الشركة ونظامها الأساسي والقواعد المنصوص عليها في قانون الشركات، حيث تبدو شركة المساهمة العامة وكأنها منظمة مستقلة كل الإستقلال عن أعضائها ومحكومة بنواميس خاصة تنبثق عن طبيعتها كأنموذج أمثل لشركات الأموال.
وفي الباب الأول تناولت تشكيل مجلس الإدارة وأحكام وشروط العضوية فيه والقيود الواردة عليها هذا بالإضافة إلى تشكيله الداخلي وآلية مباشرته لسلطاته مع تبيان مفصل لأهم سلطات وواجبات مجلس الإدارة وطبيعة العلاقة القانونية التي تنتظم مجلس الإدارة بالشركة التي يديرها.
وأما في الباب الثاني فقد تناولت المسؤولية المدنية والجنائية لمجلس إدارة شركة المساهمة العامة، ففي مجال المسؤولية المدنية فقد بينت أن الأخيرة إما أن تكون شخصية تنشأ في مواجهة عضو واحد من أعضاء مجلس الإدارة أو تضامنية مشتركة في مواجهة عدد من الأعضاء، وبعد ذلك تناولت أنواع الدعاوى التي يمكن مباشرتها في مواجهة مجلس الإدارة إذا ما أخل بالواجبات الموكلة، وأخير اختمت دراستي لموضوع المسؤولية المدنية بدراسة موضوع تصفية الشركة ومدى إحتفاظ مجلس الإدارة بسلطاته حال تصفيتها؟ وماهية المسؤولية القانونية التي تقع على عاتق مجلس الإدارة أثناء تصفيتها إذا ما كان السبب المباشر وراء تدهور مركزها المالي.
وأما في مجال المسؤولية الجنائية لمجلس إدارة شركة المساهمة العامة فقد تطرقت لمفهوم المسؤولية الجنائية وأهم صورها في مجال قانون الشركات وقانون العقوبات.
وأخيراً اختتمت دراستي بأسباب إنتهاء العضوية في مجلس إدارة شركة المساهمة العامة.
