"العقد شريعة المتعاقدين" ما زال صدى هذه العبارة يتردّد في كليات الحقوق مشيراً إلى إلزامية العقد حتى يكاد لا يخلو كتاب قانون من الإشارة إلى هذه الخاصة.
وكما لكل مبدأ إستثناء فلقاعدة الإلزام حدود ذلك أن مبدأ إلزامية العقد لا ينطبق إلا على العقود الملزمة التي لا تنقض بإرادة منفردة فهناك عقود محددة يجوز نقضها من جانب واحد كالعقود التي يكون فيها شخص المدين موضع إعتبار في التعاقد (وكالة) وكالعقود المستمرة غير المقيّدة بمدة (عقد العمل عقد الشركة).
كما أن التطور التكنولوجي الحاصل وما له من إنعكاسات لناحية ظهور أنواع جديدة من العقود كالعقود الإلكترونية مثلاً دفع المشرّع للتدخل مقراً حق المستهلك بالرجوع عن العقد بعد إبرامه تأميناً للحماية القانونية له بغية إنقاذه من الإكراه المعنوي الذي يمارسه الممتهن عليه، خاصة أن المستهلك غالباً لا تتوافر لديه القدرات الفنية والقانونية والوقت الكافي للتروّي والتفكير في جميع ما يبرمه من صفقات للإستهلاك فيقع ضحية الإغراء الدعائي المبالغ فيه.
إن ممارسة حق الرجوع عن العقد يؤدي إلى نتيجة مفادها هدم الرابطة العقدية بين المتعاقدين ومحو آثارها، وإن المغالاة في ممارسة هذا الحق من شأنها أن تؤدي إلى نتائج إقتصادية وإجتماعية خطيرة لذلك كان لا بد من تنظيم ممارسته ليبقى إستثناء محصور تطبيقه ببعض العقود على سبيل الحصر.
وفي هذا السياق نشير إلى أن التطور الإقتصادي والإجتماعي الحاصل كان له أثره على نظرية الرجوع عن العقد في العديد من الدول خاصة مع ظهور أنواع عديدة من العقود لا يتوافر فيها للمتعاقد القدرة على التحقق من كافة عناصر تعاقده، وهذا ما يطرح السؤال حول ما إذا كان الإتجاه الشريعي سيكون نحو تحويل هذا الإستثناء إلى مبدأ مع توسيع نطاق تطبيقه ليشمل عقود جديدة؟.
