تناولت هذه الدراسة العلاقة بين الإلتزام بالسرية الخاص بالمحافظة على أسرار العمل ، والإلتزام بعدم المنافسة المتعلق بعدم استغلال أسرار العمل أو استقطاب عملاء صاحب العمل ، وقُسِّمت الدراسة لفصل تمهيدي خُصص لدراسة القواعد العامة التي تحكم الإلتزام بالسرية عموماً ، وبابين رئيسيين خُصص الأول لنطاق الإلتزام بالسرية ، والثاني لبيان الحماية القانونية المقررة له .
وخلصت الدراسة إلى وجود العديد من الأحكام المشتركة بين الإلتزام بالسرية والإلتزام بعجم المنافسة ، إلا أن ذلك لا يجعل الإلتزامين وجهين لعملة واحدة ؛ بل إن لكل التزام نطاق خاص به ، ووجود أحدهما لا يغني عن وجود الآخر ، إذ يتعلق الأول بكتمان أسرار العمل عن الغير فقط ، ولا يمنع العامل من استغلال أسرار العمل بعد انتهاء عقد العمل بأي شكل من الأشكال ، أما الثاني فيتعلق بعدم منافسة العامل لصاحب العمل سواء بإقامة مشروع منافس أو الإشتراك في مشروع يقوم بمنافسة صاحب العمل ، وذلك في إطار التشريعين المصري والليبي .
