الإستحواذ: هى عملية قانونية يترتب عليها حصول إحدى الشركات على إدارة شركة أخرى عن طريق شراء معظم أسهمها، وهى إحدى الوسائل لتكوين المجموعات والتى اخترناها لتكون محل هذا البحث، وقد زادت عمليات الإستحواذ بصورة كبيرة سواء على المستوى الدولى أو المستوى المحلى.
وقد تناول المشرع الفرنسى احكام الاستحواذ من خلال العروض العامة فى قانون التجارة بموجب نصوص استحدثت فى القانون رقم2006/387 وذلك بالمواد من L.33-32:L.233-40 من كود التجارة وكذلك أحكام العروض العامة للشراء والتبادل فى الكود النقدى والمالى بالمواد من L.433-1:L.433-4والمعدلة بالقانون رقم2006/387 والقانون رقم2008/776 الصادر فى 4 اغسطس2008،وكذلك لائحة AMFوالتى صدرت فى 12 نوفمبر 2004 وتعدلت بقرارات عدة كان أخرها فى 2 أبريل 2009، كما تناول المشرع المصرى أحكام الاستحواذ من خلال قانون سوق رأس المال رقم 95 لسنة 1992 ولائحته التنفيذية بالقرار الوزارى رقم 135 لسنة 1993 والتى تعدلت بالقرارات رقمى 930 لسنة 1996، 477 لسنة 1998، وتم إلغاء هذه التعديلات بموجب قرار وزير الاستثمار رقم 12 لسنة 2007 والذى اضاف إلى اللائحة التنفيذية للقانون 95 لسنة 1992 الباب الثانى عشر وتناول فيه عروض الشراء بقصد الاستحواذ فى المواد من325:358، وعليه سوف نتناول بحث الاستحواذ على الشركة فى ضوء هذه النصوص وقد رأينا تقسيم البحث إلى: (مبحث تمهيدى: مالية الاستحواذ، الفصل الأول: طرق الاستحواذ، الفصل الثانى: آثار الاستحواذ والاجراءات المضادة له، الفصل الثالث: حالات عملية الاستحواذ).
