ظهرت في الحياة العملية العديد من تطبيقات التعاقد من الباطن، التي جاءت استجابة لمتطلبات معينة فرضتها الظروف الإقتصادية والإعتبارات الإجتماعية، مما دفع بالمشرعينفي مختلف التشريعات إلى تنظيم هذه التطبيقات، ومن هذا المنطلق يمكن القول أن التعاقد من الباطن فضلاً عن أنه حقيقة واقعة في حياتنا العملية فهو حقيقة قانونة أيضاً، ويعود سبب اختيارنا لهذا الموضوع، إلى أهميته من الناحية التطبيقية وشيوعه وتناثره في مواد قانونية متفرقة، وقد جاءات هذه الدراسة تحليلية مقارنة، إذ اعتمدنا في بحث هذا الموضوع على تحليل النصوص التشريعية الخاصة بتطبيقات التعاقد من الباطن، وذلك لإستخلاص أحكام وقواعد عامة للتعاقد من الباطن، وكذلك بيان وتحليل موقف القضاء من هذه التطبيقات، كما أن منهجية هذه الدراسة تجسد بالمقارنة، حيث اشتملت على مقارنة القانون المدني العراقي مع القانون المدني المصري والفرنسي مع الاستئناس بمواقف بعض القوانين العربية، كالقانون المدني الأردني والسوري والليبي وقانون الموجبات والعقود اللبناني، وجاءت هذه الدراسة أيضاً مقارنة بالفقه الإسلامي متى اقتضت الضرورة المنهجية ذلك، وجاءت خطة البحث على النحو التالي: (الفصل الأول: ماهية التعاقد من الباطن، الفصل الثاني: شروط التعاقد من الباطن، الفصل الثالث: أحكام التعاقد من الباطن، الفصل الرابع: مفهوم الغير في نطاق التعاقد من الباطن).
