على الرغم من تنظيم المشرع الجزائرى لأحكام الإفلاس بموجب الأمر75/59 ولأسباب متعددة لم يتم تجسيدهخ وتطبيقه إلا قبيل سنوات، حيث إنه وبعد الاستقلال تم تنبي النظام الاشتراكي لمنهج اقتصادش وتم تأميم معظم القطاعات الاقتصادية، وأضحت الدول محتكرة للتجارة لداخلية والخارجية وأصبح علم القطاع الخاص ضيق النطاق، هذا ما يعنى أنه منذ 26 سبتمبر 1975 تاريخ صدور القانون التجاري لم يكن نظام الإفلاس المدرج ضمن الكتاب الثالث ليطبق بصفة فعلية على الخواص أو الشركات التجارية.
أما عن القطاع العام فقد كانت خزينة الدولة تمول كل حالات مؤسساتها الوطنية الصناعية والتجارية. هذا ما جعل من جهة أخرى أن لا تدرج محاور الإفلاس والتسوية القضائية ضمن برامج الدراسة لطلبة الحقوق وللقضاة إلا ابتداء من سنة 1991. وقد كانت البوادر الأولى لتجسيد نظام الإفلاس بدت سنة 1988 حيث بدأت الدولة تتخلى عن الكثير من القطاعات خاصة بعد صدور القانون 01/88 المتعلق باستقلالية المؤسسات الاقتصادية العمومية كل هذا حتم علينا أن نتناول كل ما تعلق بنظام الإفلاس بنوع من التحليل من خلال الأبواب الآتية: الباب الأول: النظرية العامة لنظام الإفلاس، الباب الثانى: شروط وأنواع الإفلاس والتسوية القضائية، الباب الثالث: الحكم بشهر الإفلاس والتسوية القضائية، الباب الرابع أشخاص التفليسة والتسويق القضائية. الباب الخامس: آثار الحكم بشهر الإفلاس. الباب السادس: إجراءات التفليسة ومجوداتها. الباب السابع: انتهاء التفليسة.
