لما كان العقد شريعة لمتعاقدين - فإن الغاية الأساسية التي يسعي إليها الدائن هي قيام المدين بتنفيذ عين ما إلتزم به طبقاً للعقد وبالطبع متي إستعصي تنفيذ الميدن لإلتزامه إختياراً فإنه يحق للدائن أن يطلب ضمانات تكفل له إستيفاء حقه. وهكذا نجد أن تلك الضمانات يتم ترجمتها في صورة الكفالة- حيث يتقدم شخص غير المدين لضمان وفاء ما علي المدين لدائنة فيضم ذمته إلى ذمة المدين ليزيد من ضمان الدائن نحو تحصيل مطلوبه. ومن ثم يضحى بذلك للدائن حق الضمان العام ليس علي جميع أموال مدينة فحسب بل أيضاً على جميع أموال الكفيل - ويطلق على الكفالة حينئذ إصطلاح الكفالة الشخصية لأنها تنشئفي ذمة الكفيل إلتزاماً شخصياً ينفذ في جميع امواله.
