عقود البيع من المعاملات التي لا يمكن للناس الاستغناء عنها ,والأصل في المعاملات الحل، وعقد البيع عقد معاوضة مباح به يتملك الإنسان حاجته، ولا شك أن الالتزامات التعاقدية تتطلب ضمان الوفاء، فهناك حالات يحاول فيها البائع عدم نقل الملكية إلى المشتري بعد إبرام العقد لا لوجود إجراءات معينة، وإنما حماية له من المخاطر المالية التي يمكن أن يتعرض لها المشتري، فيعلق نقل الملكية على تنفيذ التزام معين كدفع الثمن كاملاً, وهناك حالات تنتقل فيها الملكية إلى المشتري بمجرد العقد، لكنها مقيدة، وتقييدها يأتي في صور عدة، من أبرزها حظر التصرف في المبيع تصرفاً ناقلاً لملكيته إلى الغير إلا بعد سداد جميع الأقساط المتبقية عليه، فنحن أمام أمرين: إما الاحتفاظ بالملكية، وإما نقلها مقيدة , ونقل الملكية وإن كان يُؤمنُ حق الدائن ويحميه من خطر إعسار المدين، كأسلوب ضمان حديث، إلا أنه أصبح يُستغل بطريقة غيرِ منضبطة لا علاقة لها بالحكم الشرعي، و في نفس الوقت قد يكون تعسفياً على المدين، فيقع الضرر عليه ,وقد تناول الباحث الحكم الشرعي والحل الأمثل بطريقة جديدة تضمن كافة حقوق الطرفين وتبتعد عن دائرة المحظور في البيع , مراعاة لمصلحة المتعاقدين ودفعا للضرر.
