لقد عرف الاقتصاد العالمي منذ بداية القرن العشرين حركية وتوسعا كما لم يعرفـه من قبل حيث لم يعد قطاع الأعمال يعترف بالحدود السياسية للدول، فقد أصبح رأس المال ينتقل من دولة إلى أخرى قاصدا الاقتصاديات الخصبة للاستثمار الشيء الذي غذﱠى نمو الشركات لتأخذ أحجاما عملاقـة، ولم تعد الأموال العائلية ولا حتى القروض المصرفية كافية لتدعيم استثماراتها، فظهرت شركات المساهمة كشكل جديد للملك لقد عرف الاقتصاد العالمي منذ بداية القرن العشرين حركية وتوسعا كما لم يعرفـه من قبل حيث لم يعد قطاع الأعمال يعترف بالحدود السياسية للدول، فقد أصبح رأس المال ينتقل من دولة إلى أخرى قاصدا الاقتصاديات الخصبة للاستثمار الشيء الذي غذﱠى نمو الشركات لتأخذ أحجاما عملاقـة، ولم تعد الأموال العائلية ولا حتى القروض المصرفية كافية لتدعيم استثماراتها، فظهرت شركات المساهمة كشكل جديد للملكية حيث يسمح باستقطاب رؤوس أمال ضخمة توكل مهمة استثماراتها لإدارة منفصلة عن ملاك رأس المــال وهــو ما يعرف بنظرية الوكالة، ولما كانت إدارة المنشاة هي التي تقوم بتسيير استثمار رأس مال الملاك ظهرت الحاجة إلى تقييم أداء هذه الإدارة ومدى فاعليتها في تحقيق أهداف الملاك في الربح والاستمرارية.
