هذا المؤلف يتضمن ثلاثة كتب تشتمل على ما يأتي : التعليق على النصوص الرسمية الكاملة لقانون التجارة المصري الجديد رقم 17 لسنة 1999 وأعماله التحضيرية كمشروع والقوانين المكملة له من قانون التجارة القديم الصادر سنة 1883 وتطبيقات محكمة النقض المصرية وذلك في البنود التالية : الكتاب الأول : 1- النصوص الرسمية الكاملة للقانون رقم 17 لسنة 1999 بشأن إصدار قانون التجارة والتعليق عليها. 2- فهرس عام وفهرس آخر تفصيلي موضوعي لكل مادة من مواد القانون . الكتاب الثاني : الفصل الذي ما زال سارياً من قانون التجارة القديم لسنة 1883 وهو الفصل الأول من الباب الثاني بشأن شركات الأشخاص . الكتاب الثالث : أحدث المبادئ القانونية التي قررتها محكمة النقض المصرية بشأن قانون التجارة ومشكلاته العملية في الفترة من 1996 – 1999.
