إن محل الحق هو القيمة التي يستأثر بها صاحبه وقد تكون هذه القيمة عمل من الأعمال وقد تكون شيئا من الأشياء، فمحل الحق إذا قد يكون عملا وقد يكون شيئا. والعمل هو مناط الحق الشخصي والذي هو عبارة عن سلطة تثبت للدائن وتخوله إلزام المدين بأداء عمل معين أو الامتناع عن أدائه تحقيقا لمصلحة مشروعة له وقد يكون إعطاء شيء حيث يشرط في العمل كل التزام المدين بأن يكون ممكنا ومعينا أو قابلا للتعيين وأن يكون مشروعا. ويقصد بالشيء كل ما لا يعد شخصا مما يكون له كيان ذاتي منفصل عن الإنسان ماديا كان هذا الكيان أم معنويا، فالمادي هو موضوع الحق العيني والمعنوي هو موضوع الحق الذهني والأشياء هي محل كافة الحقوق ماعدا الحق الشخصي. فالشيء هو المحل الذي يقع عليه الحق الـمالي وقد يكون هذا الحق ماليا أو غير مالي، ومن ثم فليس هناك تلازم بين المال (أي الحق المالي) والشيء، إذ قد يوجد حق مالي دون شيء يرد عليه كالحق الشخصي الذي يجد محله فـي عمل ( إيجابي أو سلبي) يقوم به الـمدين. والمشرع المغربي لا يفرق بين الأموال والأشياء فالفصل الخامس من ظهير 19 رجب 1333هـ الموافق لـ : 2 يونيو 1915 الملغى بمدونة الحقوق العينية الجديدة والخاص بتنظيم الملكية العقارية والحقوق العينية في المغرب اعتبر الأموال العقارية : "عقارات إما بطبيعتها أو التخصيص أو بالمحل الذي تنسحب إليه". وانطلاقا من هذا الفصل فإن مفهوم المال يشمل الأشياء والحقوق في نفس الوقت وإذا عدنا إلى الفصلين السادس والسابع من نفس الظهير فإننا نجد أن العقارات بطبيعتها والعقارات بالتخصيص هي من قبيل الأشياء بينما العقارات بحسب المحل الذي تنسحب إليه هي من قبيل الأموال أو الحقوق ، ومن هنا نستنتج بأن المشرع المغربي يخلط بين المال والحق ولا يفرق بينهما....
