نظرًا لزيادة استعمال الأوراق التجارية في الحياة المدنية والتجارية على حد سواء بسبب أهمية الوظائف التي تطلع بها فقد رأينا أن ندلي بهذا الجهد المتواضع من أجل بحث تنازع القوانين في الأوراق التجارية في التشريعات المقارنة, وخاصة أن الاتفاقيات الدولية المعنية بهذا الشأن لم تقض على حالات التنازع بصفة كلية؛ مما أدى إلى بقاء حالات التنازع بشأن هذه الأوراق قائمة وعديدة, وأن قواعد الإسناد المدرجة في القانون المدني سواء المصري أو العراقي لم تقدم الحلول الملائمة للأوراق التجارية, الأمر الذي يستدعي البحث في الأوراق التجارية بما يتفق وطبيعتها, وتبرز الأهمية العلمية للبحث في هذا الموضوع كونه يقع بين فرعين من فروع القانون, هما: (القانون التجاري, والقانون الدولي الخاص)
